Terms of Service
These terms govern your use of millstoneventures.com (the “Site”), operated by Millstone Ventures, LLC (“Millstone Ventures,” “we,” “our,” “us”). By using the Site, you agree to these terms. If you don’t agree, please don’t use the Site.
1. The Site is informational
The Site exists to introduce Millstone Ventures’ infrastructure design, deployment, and managed-service offerings, and to let prospective clients reach us. It’s not a contract for services. Any actual engagement begins only after we’ve signed a separate written agreement that specifies scope, pricing, and terms.
Nothing on the Site — including descriptions of services, capability lists, or engagement tiers — constitutes a binding offer. Final scope, pricing, and terms are determined in your service agreement.
2. Acceptable use
Use the Site for its intended purpose: learning about us, contacting us, and corresponding with us about a possible engagement. The full Acceptable Use Policy is at /acceptable-use and forms part of these terms.
3. Intellectual property
All content on the Site — text, images, design, logos, source code — is owned by Millstone Ventures, LLC, or used with permission, and is protected by U.S. and international copyright and trademark laws. You may view content for personal, non-commercial purposes. Any other use requires our written permission.
The “Millstone Ventures” name and the “M” mark are trademarks of Millstone Ventures, LLC.
4. No warranties
The Site is provided “as is.” We don’t warrant that the Site will be uninterrupted, error-free, or secure, or that information on the Site is accurate or complete. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
This disclaimer applies only to the Site itself. Warranties for actual services we provide are governed by your service agreement, not these terms.
5. Limitation of liability
To the fullest extent permitted by law, Millstone Ventures’ total liability arising out of or related to the Site is limited to one hundred U.S. dollars ($100). We are not liable for indirect, incidental, consequential, special, or punitive damages — including lost profits, data, or goodwill — even if we’ve been advised that such damages are possible.
This limitation does not apply to liability that cannot be excluded under applicable law.
6. Indemnification
You agree to defend, indemnify, and hold harmless Millstone Ventures, its members, employees, and agents from any claims arising from your misuse of the Site or violation of these terms.
7. Governing law
These terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws principles. Any disputes arising from these terms or the Site will be brought in the state or federal courts located in Monmouth County, New Jersey, and you consent to the personal jurisdiction of those courts.
8. Changes
We may update these terms. The “Last updated” date at the top tells you when. Continued use of the Site after changes constitutes acceptance of the updated terms.
9. Severability
If any provision of these terms is held unenforceable, the remaining provisions will continue in full effect.
10. Entire agreement
These terms, together with the Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and Millstone Ventures regarding the Site.
